By accessing or using uContents, you agree to be bound by these Terms of Service. If you do not agree, please do not use our services. These Terms constitute a legally binding agreement between you and uContents Inc. We may update these Terms from time to time -- continued use of the services after changes constitutes acceptance.

uContents provides a social media management platform that enables users to:

• Multi-Platform Publishing: Connect and publish content simultaneously to Meta/Instagram, Google/YouTube, TikTok, and others.
• Content Scheduling: Schedule and automate content distribution across all connected channels.
• Analytics: Access insights and analytics about your social media performance.
• AI Features: Generate AI-powered captions, hook titles, and content suggestions.
• Media Management: Store, organize, and manage media assets across workspaces.

To use our services, you must create an account with accurate, complete, and current information. You must be at least 16 years old. You are responsible for maintaining the confidentiality of your credentials and for all activities under your account. You agree to:

• Strong Credentials: Use a strong, unique password and enable two-factor authentication when available.
• Prompt Notification: Notify us immediately of any unauthorized access to your account.
• No Sharing: Not share your account credentials with others or access another user's account.

Our services allow you to connect third-party social media accounts. By connecting these accounts, you authorize us to access your account data as permitted by each platform's API and agree to comply with their terms. You acknowledge that platform API changes may affect available features.

• Meta (Facebook & Instagram): You agree to comply with Meta's Terms of Service and Platform Terms. Content must comply with Meta's Community Standards.
• Google (YouTube): Use of Google/YouTube data is subject to the Google API Services User Data Policy and YouTube's Terms of Service.
• TikTok: When connecting TikTok accounts, you agree to TikTok's Terms of Service. Content must comply with TikTok's Community Guidelines.

You retain ownership of all content you create or upload. By using our services, you grant us a limited license to store, process, and transmit your content as necessary to provide the services. You are solely responsible for content you publish and represent that:

• Ownership: You own or have the necessary rights to use and publish the content.
• Non-Infringement: Your content does not infringe any third-party intellectual property rights.
• Compliance: Your content complies with all applicable laws and platform community guidelines.

You agree not to use uContents to create, upload, or distribute content that is illegal, harmful, threatening, abusive, defamatory, or that violates applicable platform terms. You may not attempt to gain unauthorized access, interfere with or disrupt services, reverse engineer our software, or resell the services without authorization.

We offer subscription plans with different features. By subscribing to a paid plan, you agree to:

• Payment: Pay all fees according to your selected plan and provide accurate billing information.
• Auto-Renewal: Authorize recurring charges for subscription renewals unless you cancel before the renewal date.
• Price Changes: We reserve the right to modify pricing with 30 days notice for existing subscribers.
• Refunds: All fees are generally non-refundable except as required by law. Details are provided at time of purchase.

The uContents platform -- including all software, designs, text, graphics, and other content we provide -- is protected by intellectual property laws and owned by uContents Inc. You may not copy, modify, or distribute our intellectual property without written permission. If you provide feedback or suggestions, we may use them without any obligation to compensate you.

THE SERVICES ARE PROVIDED 'AS IS' WITHOUT WARRANTIES OF ANY KIND. We do not guarantee uninterrupted access. We are not responsible for the availability or functionality of third-party social media platforms. TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.

Any disputes arising from these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration. These Terms are governed by the laws of the State of Delaware, United States.

These Terms, together with our Privacy Policy, constitute the entire agreement between you and uContents. If any provision is found unenforceable, the remaining provisions continue in full effect. Our failure to enforce any provision shall not constitute a waiver. You may not assign these Terms without our prior written consent.
